Ellos Holding AB (publ) (“Ellos” or the “Company”) today announces the successful completion of the written procedure that was initiated on 1 December 2025 (the “Written Procedure”) in relation to the Company’s outstanding senior secured callable floating rate bonds 2019/2028 with ISIN SE0012827996 (the “Bonds”).
Pursuant to the notice of Written Procedure, the bondholders were requested to approve certain amendments (the “Amendments”) of the terms and conditions of the Bonds. Following feedback from certain Bondholders and in order to further incentivise participation and support for the Amendments and an intercreditor agreement on the terms set out in the ICA term sheet appended to the notice of Written Procedure, the Company resolved to update the proposal and the terms of the Written Procedure by publishing new proposed amended and restated terms and conditions (“A&R Terms and Conditions”) and an amended and restated ICA term sheet, which are available at the Company’s website, and which shall be deeded to constitute the terms of the Written Procedure.
A sufficient number of bondholders participated in the Written Procedure in order to form a quorum, and a requisite majority of the bondholders voted in favour to approve the proposals set forth in the notice of Written Procedure. In order to implement and effectuate the proposed amendments of the Written Procedure, the Company shall enter into the A&R Terms and Conditions for the Bonds.
